2. Orders and Pricing
- Minimum Order Quantity (MOQ): The minimum order quantity is 500 units unless otherwise agreed in writing.
- Pricing: Prices are listed in USD. If changes occur, the price on the invoice shall prevail, and no separate notification will be provided. All orders are subject to acceptance by us.
- Payment Terms: Payment is due within one week of invoice issuance via bank transfer or other agreed methods. Due to fluctuations in raw material or logistics costs, quotes will be re-evaluated if payment exceeds this timeframe.
3. Customization Services
- Process: Custom orders (e.g., Christmas Crackers, packaging, or gifts) require design approval prior to production. Changes after approval may incur additional fees.
- Intellectual Property: All designs and customizations remain the property of Guangzhou O’shelsee Co., Ltd. unless otherwise specified in a written agreement.
- Lead Time: Custom orders typically require 15-30 days, depending on complexity and order volume.
4. Delivery and Logistics
- Shipping Terms: All shipments are Ex Works (EWX) from our facility. The buyer assumes all risks and costs post-delivery.
- Delivery Times: Estimated delivery times are provided at order confirmation, but delays due to customs, force majeure, or logistics are beyond our control and exempt us from liability.
- Reliable Logistics: We partner with trusted global carriers to ensure timely delivery.
5. Returns and Refunds
- Defective Products: For quality issues arising after receipt, customers may submit photos or videos for inspection. Upon verification of authenticity, the resolution will be mutually agreed upon. As paper-based products carry inherent damage risks, a loss rate of up to 10% is considered acceptable.
6. Gift Sourcing Services
- Sourcing Process: We act as the procurer, collecting information to meet customer needs, communicating with third-party suppliers, and guaranteeing product quality(inspect the factory, take picture or video of the product and even sending the sample to check the quality) to ensure customer satisfaction. Customers transfer the total invoice amount to us, and we handle procurement and payment to suppliers on your behalf.
- Pricing Structure: The invoice will include the product cost (payable to the factory) and an additional 5% service fee (payable to us) for our procurement and quality assurance services. For example, on a $1,000 product order, a $50 service fee applies, making the total $1,050 due from the customer.
- Responsibility: We manage all agreements with third-party suppliers, ensuring compliance with order specifications. However, the buyer is responsible for any additional costs or disputes arising post-delivery, including customs or third-party delays.
- Rationale: As the central procurer, we streamline the process, but post-delivery risks are borne by the buyer to align with Ex Works (EWX) terms.
7. Data and Privacy
- Your use of this website is governed by our Privacy Policy, which details how we collect, use, and protect your data.
8. Limitation of Liability
- We are not liable for indirect, incidental, or consequential damages arising from the use of our products or services, including but not limited to lost profits or business interruption. Our total liability shall not exceed the purchase price of the affected order.
9. Intellectual Property
- All content on jollycracker.com, including designs, logos, and product images, is owned by Guangzhou O’shelsee Co., Ltd. or its licensors. Unauthorized use is prohibited.
10. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the People’s Republic of China. Any disputes shall be resolved in the courts of Guangzhou, China.
11. Termination
- We may terminate or suspend your access to our services at our discretion if you breach these Terms, with notice provided where feasible.
